On September 4, 2009, the Company filed a Notice of Intention to Make a Proposal pursuant to Section 50.4 of the Bankruptcy and Insolvency Act ("BIA"). A. Farber & Partners Inc. ("Farber") was appointed as Trustee in the Proposal of the Company.
On September 30, 2009, by Order of the Honourable Madame Justice Hoy, the deadline to file a proposal was extended by 45 days to November 18, 2009.
The Company did not file a proposal by the November 18th deadline, and is deemed to have made an assignment in bankruptcy. The effective date of bankruptcy is November 19, 2009. A copy of the Certificate of Assignment is attached. The first meeting of creditors will be on December 10, 2009 at the Metropolitan Hotel in Toronto, Ontario. On September 30, 2009, A. Farber & Partners Inc. was appointed Interim Receiver of all of the Company's current and future assets for the limited purpose set out in the Order dated September 30, 2009. This Order also approved the Interim Receiver entering into an asset purchase agreement with LTS TG Ltd. for the sale of the Company's Canadian assets as a going concern. An Approval Order and Vesting Order was issued in favour of LTS TG Ltd.
A further Order was issued on September 30, 2009 that authorized the Interim Receiver to enter into an agency agreement with HMR Canada Inc. for the liquidation of the Company's assets located in the United States.
